These Terms of Service constitute a legally binding agreement between you and NakedSignal governing your access to and use of our services. By accessing or using our services, you agree to be bound by these terms. If you do not agree to these terms, you must not access or use our services.
1. Introduction and Acceptance
1.1 Binding Agreement
These Terms of Service (the "Terms") constitute a legally binding agreement between you, either an individual or a single entity ("you," "your," or "User"), and NakedSignal, Inc. ("NakedSignal," "we," "our," or "us"), governing your access to and use of the NakedSignal website (located at nakedsignal.com), any associated mobile applications, APIs, and related services (collectively, the "Services").
1.2 Acceptance of Terms
By accessing or using the Services, registering for an account, or clicking a button or checkbox indicating your acceptance of these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1.3 Eligibility
By using the Services, you represent and warrant that:
- You are at least 18 years of age;
- You have the legal capacity to enter into a binding contract with NakedSignal;
- You are not barred from using the Services under applicable law; and
- You are either acting on your own behalf or are authorized to act on behalf of a company or other entity that you represent.
1.4 Changes to Terms
We reserve the right to modify, amend, or update these Terms at any time and in our sole discretion. If we make material changes to these Terms, we will provide notice through the Services, via email, or by other means to provide you with the opportunity to review the changes before they become effective. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
It is your responsibility to review these Terms periodically to stay informed of updates. The most current version will always be available on our website with the "Last Updated" date at the top.
2. Account Registration and Security
2.1 Account Creation
To access certain features of the Services, you may be required to register for an account. When you register, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information;
- Maintain the security of your account credentials; and
- Be fully responsible for all activities that occur under your account.
2.2 Account Security
You are responsible for safeguarding the password or credentials that you use to access the Services and for any activities or actions under your account. We recommend that you use "strong" passwords (passwords that use a combination of upper and lowercase letters, numbers, and symbols) with your account. You agree to:
- Notify us immediately of any unauthorized access to or use of your account;
- Not share your account credentials with any third party; and
- Ensure that you log out from your account at the end of each session when accessing the Services from a shared device.
We cannot and will not be liable for any loss or damage arising from your failure to comply with this section. You may be liable for the losses incurred by NakedSignal or others due to any unauthorized use of your account.
2.3 Account Types
We may offer different types of accounts with varying features, permissions, and pricing. The specific features and functionalities available to you will depend on the type of account you register for or purchase. We reserve the right to modify, terminate, or otherwise change the features associated with each account type at any time.
2.4 Organizational Accounts
If you register for an account on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" will refer to both you individually and the entity.
2.5 Account Termination
We reserve the right to suspend or terminate your account, refuse any current or future use of the Services, or impose restrictions on your use of the Services, with or without notice, for any reason, including:
- Violation of these Terms;
- Suspected fraudulent, abusive, or illegal activity;
- Non-payment of any fees owed to us;
- Extended periods of inactivity; or
- As required by law or regulation.
You may terminate your account at any time by following the instructions in the Services or by contacting us at support@nakedsignal.com. Upon termination, your right to use the Services will immediately cease, and we may delete or deactivate your account and all associated information and files.
3. Service Description and Licensing
3.1 Service Description
NakedSignal provides market research reports, data analytics, industry insights, and related services to help businesses make informed decisions. Our Services may include:
- Market research reports and industry analyses;
- Data visualization and analytics tools;
- Customized research services;
- Consultation with industry experts and analysts;
- Newsletters, webinars, and other educational content; and
- APIs and data integration solutions.
The specific features and functionalities available to you will depend on your account type, subscription plan, or individual purchases.
3.2 License Grant
Subject to these Terms and your compliance with them, NakedSignal grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or personal purposes. This license is conditioned on your compliance with any usage limitations, payment of all applicable fees, and adherence to these Terms.
3.3 Content Licenses
When you purchase a report or other content through our Services, you are granted a specific license to use that content as described at the time of purchase. Unless otherwise specified, such licenses typically include:
- The right to access, view, download, and store the content for your internal reference;
- The right to print a reasonable number of copies for internal use; and
- The right to share the content with other authorized users within your organization (if applicable).
Unless explicitly permitted in writing, your license does not include the right to:
- Sell, resell, license, sublicense, distribute, or otherwise commercially exploit the content;
- Modify, adapt, translate, reverse engineer, decompile, or create derivative works based on the content;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices embedded in the content;
- Make the content available to any third parties outside your organization without our prior written consent; or
- Use the content in any manner that infringes our intellectual property rights or those of our licensors.
3.4 License Restrictions
In addition to the restrictions set forth above, you agree not to:
- Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services;
- Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services;
- Use any robot, spider, crawler, scraper, or other automated means to access the Services for any purpose without our express written permission;
- Bypass or circumvent any measures we may use to prevent or restrict access to the Services;
- Introduce any viruses, Trojan horses, worms, logic bombs, or other harmful material to the Services;
- Use the Services in any way that violates any applicable local, state, national, or international law or regulation;
- Use the Services for the purpose of competing with NakedSignal or to develop a competing product or service; or
- Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm NakedSignal or users of the Services or expose them to liability.
3.5 Service Modifications
We reserve the right to modify, suspend, or discontinue the Services, temporarily or permanently, at any time and without notice. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services or any part thereof.
3.6 Beta Features
From time to time, we may offer beta, preview, or experimental features that are still in development and not yet ready for general commercial release. These features may be subject to additional terms and may contain bugs, errors, or other issues. We offer these features "as is" without warranty of any kind, and we may discontinue them at any time without notice.
4. Subscriptions and Payment Terms
4.1 Subscription Plans
We offer various subscription plans and one-time purchase options for our Services. The features, limitations, and pricing of each plan are described on our website or provided to you during the purchase process. By selecting a subscription plan or making a purchase, you agree to pay the applicable fees as described.
4.2 Payment and Billing
When you provide payment information, you represent and warrant that:
- The information is accurate and complete;
- You are authorized to use the payment method provided;
- You will promptly update your account information if there are any changes; and
- You will pay the charges incurred at the prices in effect when the charges were incurred.
For subscription plans, you authorize us to charge your payment method on a recurring basis until your subscription is terminated. Unless otherwise specified, subscription fees are charged at the beginning of each billing period (monthly, quarterly, or annually, as applicable).
4.3 Taxes
All fees and charges are exclusive of applicable taxes, duties, levies, tariffs, and other governmental charges (collectively, "Taxes"). You are responsible for payment of all Taxes associated with your use of the Services, excluding taxes based on NakedSignal's net income. If we are required to collect and remit Taxes, the appropriate amount will be added to your invoice and you agree to pay such Taxes.
4.4 Renewals
Your subscription will automatically renew at the end of each billing period unless you cancel it prior to the renewal date. By default, renewals will be at the same plan level and for the same duration as your original subscription, at the then-current rates.
4.5 Cancellations and Refunds
You may cancel your subscription at any time by following the instructions in your account settings or by contacting us at support@nakedsignal.com. Cancellations will take effect at the end of your current billing period, and you will not receive a refund for any fees already paid.
For one-time purchases (such as individual reports), sales are final and refunds are generally not provided. In exceptional circumstances, we may, at our sole discretion, issue a refund if:
- There is a material error or defect in the purchased content;
- The content is substantially different from what was advertised; or
- You are unable to access the content due to a technical failure on our part.
Refund requests must be submitted within 14 days of purchase and will be evaluated on a case-by-case basis.
4.6 Price Changes
We reserve the right to change our prices at any time. If we change the fees for your subscription plan, we will provide notice of the change through the Services, via email, or by other means at least 30 days before the change takes effect. Your continued use of the Services after the fee change becomes effective constitutes your agreement to pay the updated fees.
4.7 Payment Disputes
If you dispute any charges, you must notify us in writing within 30 days of the date of the disputed charge. After such time, you waive any dispute or challenge regarding such charges. If we determine that a charged credit card or other payment method was declined erroneously, we will not consider it a breach of these Terms and will reprocess the charge.
4.8 Delinquent Accounts
If your payment method is declined or if you fail to pay any fees when due, we may:
- Limit or suspend your access to the Services;
- Charge a late fee on the unpaid balance at the lesser of 1.5% per month or the maximum rate permitted by law;
- Charge you for any collection costs incurred by NakedSignal, including reasonable attorneys' fees and court costs; and/or
- Terminate your account after repeated failed payment attempts.
5. Intellectual Property Rights
5.1 Ownership of Services
The Services, including all content, features, functionality, software, algorithms, designs, graphics, logos, and user interfaces, are owned by NakedSignal or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5.2 Ownership of Content
Unless otherwise indicated, all market research reports, data, analyses, forecasts, and other content available through the Services ("Content") are owned by NakedSignal or our licensors and are protected by copyright and other intellectual property laws. The compilation of all Content on the Services is the exclusive property of NakedSignal and is protected by copyright and other intellectual property laws.
5.3 Trademarks
NakedSignal, the NakedSignal logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NakedSignal or our affiliates or licensors. You may not use such marks without the prior written permission of NakedSignal. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
5.4 Feedback
If you provide us with any feedback, suggestions, ideas, or recommendations regarding our Services ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, disclose, distribute, modify, prepare derivative works of, display, and otherwise exploit the Feedback for any purpose without compensation to you. You also waive any moral rights or rights of attribution with respect to your Feedback.
5.5 Digital Millennium Copyright Act
If you believe that any content on our Services infringes your copyright, please notify our Copyright Agent in accordance with the Digital Millennium Copyright Act (DMCA). Our Copyright Agent can be reached at:

Your notice must include:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
- Your contact information, including your address, telephone number, and email address;
- A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
We reserve the right to remove content alleged to be infringing and to terminate accounts of repeat infringers without prior notice.
6. User Content
6.1 User-Generated Content
Certain features of the Services may allow you to post, upload, submit, or otherwise make available content, such as comments, feedback, reviews, or other materials (collectively, "User Content"). You retain ownership of any intellectual property rights that you hold in your User Content.
6.2 License to User Content
By posting, uploading, submitting, or otherwise making available any User Content on or through the Services, you grant to NakedSignal a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, transferable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit your User Content in any manner or media, whether now known or hereafter developed, without compensation to you. This license includes the right to use your User Content for promotional and marketing purposes.
6.3 User Content Representations and Warranties
You represent and warrant that:
- You own or have the necessary rights, licenses, consents, and permissions to use and authorize NakedSignal to use your User Content as described in these Terms;
- Your User Content does not infringe or violate the rights of any third party, including intellectual property rights, privacy rights, publicity rights, or contractual rights;
- Your User Content complies with these Terms and all applicable laws and regulations; and
- Your User Content is not false, misleading, defamatory, obscene, pornographic, harassing, threatening, abusive, or otherwise objectionable.
6.4 User Content Monitoring and Removal
We have the right, but not the obligation, to monitor, edit, or remove any User Content for any reason, including violation of these Terms, applicable law, or our policies. We may also terminate or suspend your access to all or part of the Services for any reason, including violation of these Terms.
You understand that when using the Services, you may be exposed to User Content from a variety of sources and that NakedSignal is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Content. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.
7. Disclaimers and Limitations
7.1 No Warranties
THE SERVICES AND ALL CONTENT PROVIDED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, NAKEDSIGNAL AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, NEITHER NAKEDSIGNAL NOR ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT THE CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE; OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. NAKEDSIGNAL DOES NOT WARRANT THAT ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
7.2 Market Research Disclaimer
The content provided through our Services, including market research reports, analyses, forecasts, and other materials, is for informational purposes only and should not be construed as investment advice, business advice, or an endorsement of any product, service, or entity described or discussed. Market conditions and industry trends are subject to change, and the accuracy and completeness of our content cannot be guaranteed. You should consult with qualified professionals before making significant business or investment decisions based on our content.
7.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NAKEDSIGNAL, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO NAKEDSIGNAL FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.
7.4 Indemnification
You agree to defend, indemnify, and hold harmless NakedSignal, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your User Content;
- Your use of the Services, including, but not limited to, any use of the Content, services, or products other than as expressly authorized in these Terms;
- Your violation of the rights of any third party, including but not limited to intellectual property rights; or
- Any claim that your User Content caused damage to a third party.
This defense and indemnification obligation will survive these Terms and your use of the Services.
8. Dispute Resolution
8.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule.
8.2 Agreement to Arbitrate
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by confidential arbitration in accordance with the JAMS International Arbitration Rules. The tribunal will consist of a single arbitrator. The place of arbitration will be New York, New York. The language to be used in the arbitral proceedings will be English.
YOU AND NAKEDSIGNAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and NakedSignal agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
8.3 Exceptions to Arbitration
Notwithstanding the foregoing, each party reserves the right to seek immediate injunctive relief from any court of competent jurisdiction in order to protect its intellectual property rights, confidential information, or other proprietary rights.
8.4 Time Limitation
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
9. General Provisions
9.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or additional terms and conditions or policies published by NakedSignal on the Services, shall constitute the entire agreement between you and NakedSignal concerning the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and NakedSignal regarding the Services.
9.2 Waiver
The failure of NakedSignal to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of NakedSignal.
9.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it legal, valid, and enforceable, or eliminated if no such modification is possible, and the remaining provisions of these Terms will continue in full force and effect.
9.4 Assignment
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without the prior written consent of NakedSignal, but may be assigned by NakedSignal without restriction or notification to you. Any assignment attempted in violation of these Terms shall be null and void.
9.5 No Agency
No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms. Neither party has the authority to bind the other or to incur any obligation on the other's behalf.
9.6 Force Majeure
NakedSignal shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
9.7 Export Controls
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, in regard to products, services, or technical data obtained from NakedSignal.

The section titles in these Terms are for convenience only and have no legal or contractual effect.
